Power of Co-Investments

Co-investments have become a powerful way for investors to access private markets. By investing alongside leading private market firms, investors can gain exposure to attractive opportunities, benefit from institutional deal sourcing and expertise, and potentially reduce overall fees.

Co-investments allow limited partners (LPs) to invest directly alongside general partners (GPs) into specific portfolio companies — without blind pool risk. Unlike traditional fund structures, LPs can evaluate and select each opportunity individually.

The advantages are meaningful: lower fees, more targeted exposures, and greater control over portfolio construction. A dedicated co-investment allocation within an evergreen fund can substantially reduce — or eliminate — management fees and carried interest, allowing investors to retain more of gross returns.

For investors, co-investment-focused evergreen funds offer a compelling entry point: access to high-quality deals, GP expertise, and a fee structure built around their interests.

The Advantages of Co-Investments Within Private Market Investment Vehicles

Primark Capital utilizes co-investments as the underlying holdings in our private market funds. Co-investments enable us to invest directly alongside experienced private market managers in specific deals – such as the acquisition or growth of a private company. Essentially, co-investments allow our funds to participate more directly in private market deals – often at lower cost and with greater control.

Co-Investment Advantages*:

  • Lower fees – no management or performance fees
  • Greater control – choose which opportunities to back
  • Potential for stronger returns – through selective participation and cost savings
  • Deploys capital immediately– faster and greater exposure to attractive assets, mitigating the J-curve
  • Deeper insight – into the underlying companies or assets

*Note: It's important to realize that co-investments involve risks associated with investing directly alongside private market sponsors, including limited diversification, illiquidity, valuation uncertainty, limited information, and the potential for loss of capital. Co-investments may also involve greater exposure to individual companies and transactions, which can result in increased investment risk and volatility.

IMPORTANT INFORMATION

Investors should call 720-697-1010 or visit primarkcapital.com and carefully consider both Fund’s investment objectives, risks, charges, and expenses before investing. This information is included in and may be reviewed through the MIFAX and PMPEX prospectuses. Please read the prospectus carefully. An investment in the Fund is subject to, among others, the following risks:

The Funds are considered highly speculative, illiquid, and should only be considered by investors who can bear such risk for an indefinite period of time and can afford a complete loss of investment. There is no guarantee that any income will be generated, or distributions will be made.

The shares are illiquid, meaning investors will likely not be able to transfer or redeem shares on demand or in the quantity desired. Although the Fund offers periodic liquidity through a periodic repurchase process, an investor may not be able to sell or otherwise liquidate all their shares tendered during a quarterly repurchase offer.

The Funds’ investment in private companies is speculative and involves a high degree of risk, including the risk associated with leverage. Other risks include, but are not limited to, liquidity and valuation risk, general illiquidity, and related risks of private investments.

An investment will involve significant risks due to the nature of the fund’s investments. The fund does not represent a complete investment portfolio. There can be no assurance that the investment objectives of the Funds will be achieved. The managers and portfolio structure provided herein may be subject to change.

The Funds are not intended as a complete investment program but rather the Funds are designed to help investors diversify into private market investments.

The Funds are “non diversified” management investment companies registered under the Investment Company Act of 1940. Given the Funds’ concentration in the private market investment industry, the portfolios are subject to greater risk and volatility than if investments had been made in a broader diversification of asset types and industries.

Shares of the Funds are not listed on any securities exchange, and it is not anticipated that a secondary market for shares will develop. Shares are appropriate only for those investors who can tolerate a high degree of risk and do not require a liquid investment.
